MEMBERSHIP AGREEMENT AND TERMS OF USE

Parties

a) ÇELİK MAKAS KONFEKSİYON SANAYİ VE TİCARET LİMİTED ŞİRKETİ resides in ORTA MAH.İBRAHİMAĞA CAD.ARSAL İŞ HANI NO:18/A BAYRAMPAŞA address, running activities of http://shop.formenti.com.tr website (Hereinafter referred to as "Formenti").
b) Internet user who is a member of http://shop.formenti.com.tr internet site ("Member")
Subject of the Contract

The subject of this Contract is to determine conditions for member having benefit from website http://shop.formenti.com where FORMENTİ is owned.
Liabilities and Rights of the Parties

3.1. The Member declares and undertakes that the personal and other information he / she gives when he / she becomes a member of website http://shop.formenti.com.tr, is correct and that shall compensate all damages of FORMENTİ because of misrepresentation of this information exactly and immediately.
3.2. The member cannot give password given to him/her by FORMENTİ to other persons or organizations and member owns the right to use password. Member reserves all kinds of compensation and other right to claim sourced because of usage by FORMENTI without permission, and all liabilities that may arise for this reason, against all claims and requests which may be brought to FORMENTI by third parties or competent authorities.
3.3. When using the website http://shop.formenti.com.tr, member agrees and undertakes to comply with the provisions of legal regulations and not violate them. Otherwise, all legal and penal obligations to be born shall be binding entirely and exclusively to member.
3.4. Member shall not use website of http://shop.formenti.com in any manner that violates public order, against general morality, disturbing or harassing others, infringes opinions and copyrights of others for illegal purposes. In addition, member cannot do activities and transactions (spam, virus, trojan, etc.) preventing or enforcing use of services by other members.
3.5. Opinions and thoughts declared, written and used in http://shop.formenti.com.tr website by member, are solely member’s own personal opinions and they bound only opinion holder. These opinions and thoughts have not any interest or connection with FORMENTİ. FORMENTİ has no responsibility on losses member suffer, because of opinions and thoughts of third parties or losses third parties suffer, because of opinions and thoughts of member.
3.6. Formenti shall not be responsible for any unauthorized reading of member data and for damages that may result in member software and its data. Member has agreed in advance to not claim compensation from Formenti for any damages that may be caused by use of website http://shop.formenti.com.
3.7. Member agrees not to access or use any other internet users' software and data without permission. Otherwise, legal and criminal responsibilities arising from it shall completely belong to member.
3.8. A member who violates one or more of items listed in membership contract shall be personally and criminally liable for violation of contract and shall keep Formenti free from legal and criminal consequences of such violations. Also; In case of violation of contract, because of this violation, Formenti reserves right to demand compensation gainst member for non-compliance with membership contract.
3.9. Formenti always has right to unilaterally delete member's membership and to delete customer's files, documents and information when it is required. Member accepts this act in advance. In this case, Formenti has no responsibility.
3.10. Software and design of website http://shop.formenti.com.tr is property of Formenti and copyright and / or other intellectual property rights are protected by relevant laws and they cannot be used, acquired or modified by member without permission. Other companies and products mentioned in this web site are trademarks of their respective owners and are also protected by intellectual property rights.
3.11. Name and Internet Protocol (IP) address of Internet service provider used by Formenti to access http://shop.formenti.com website, for improvement, development and / or legal purposes, date and time of access to site, some information such as pages accessed in sequence and internet address of web site that allows direct connection to the site, can be collected.
3.12. To provide better service to Formenti users, to improve their products and services, and to ease use of site, users can use personal information of their members to work with their specific preferences and interests. Formenti reserves the right to keep a record of movements of its members on website http://shop.formenti.com.tr.
3.13. A member of Formenti declares and acknowledges that Formenti allows him / her to present product and service promotions, advertisements, campaigns, benefits, surveys and other customer satisfaction practices under applicable and / or enforceable practices. While making membership on Formenti website, member agrees and declares that collection of shopping and/or consumer behavior information and shopping information and personal information that member gave or shall give, sharing them with affiliate and all companies and using and archiving by Formenti and all affiliated companies. As long as member does not state otherwise, member agrees and accepts collecting data when membership is ended, sharing with all affiliate companies, using and archiving by Formenti and its affiliate companies. As long as member does not state otherwise, member accepts and declares that allowing Formenti and all affiliated companies to communicate with him / her by using communication channels such as internet, telephone, SMS, etc. Member accepts and agrees that he/she shall not regard Formenti or affiliate companies and shall not claim anything about loss he/she is incurred direct and / or indirect, material and/or moral, negative and/ or positive because of accessing him/herself and archiving, using, sharing, collecting above mentioned information. If member wants to change his/her data sharing preferences, he/she can forward this request to Formenti customer service call centers.
3.14. Formenti can express member's personal information when it is asked as a legal obligation, or a) to comply with legal requirements or to comply with legal proceedings notified to Formenti; b) to protect and defend the rights and property of Formenti and Formenti website family when it is convinced in a good faith.
3.15. Measures have been taken in order to ensure that Formenti website is free of viruses and similar software. In addition, in order to ensure the ultimate safety, user must supply his own virus protection system and provide necessary protection. In this context, member acknowledges that by entering Formenti website, he/she is responsible for all errors that may occur in their software and operating systems and their direct or indirect consequences.
3.16. Formenti reserves right to change content of site at any time, to change any services provided to user or to delete user information and data registered at Formenti website.
3.17. Formenti may change, update or cancel terms of Membership Contract in any time without prior notice and / or notice in any way, shape, or form. Any provision that is amended, updated or removed from power shall be binding for all members at the time of publication.
3.18. Parties accept and declare that all computer records belonging to Formenti shall be taken as sole and actual exclusive evidence in accordance with HUMK Article 287 and that such records constitute a proof contract.
3.19. In accordance with this membership contract, Formenti has authority to send informative mails to registered e-mail addresses and SMS to mobile phones, by signing this membership contract member shall be deemed to be agreed sending informing mails to e-mail addresses and sending SMS to mobile phones.
Cancellation of Contract

This contract shall remain in force until cancellation of membership of member or cancellation of membership by Formenti. Formenti shall be able to terminate contract unilaterally by canceling membership of member if member violates any provision of membership contract.
Settlement of Disputes

Istanbul Courts and Execution Offices are authorized in disputes related to this contract.
Enforcement

Making membership means that member has read all articles contained in membership contract and has accepted articles contained in membership contract. This Contract has been concluded when member makes membership and entered into force mutually.
